AI POLICY

Usage of AI Tools in the Services:
Xpan will not use any AI tools, including but not limited to natural language processing, deep learning algorithms, machine learning models, or other generative AI, as well as open-source or third-party technologies, in Services/Deliverables without the Client’s prior written approval.

If the AI tool is identified at the SOW signature stage, then the details of the AI Tools will be added in the SOW. If in case the AI Tools are not identified at the SOW signature stage and are later deemed necessary during project execution, Xpan shall seek written approval from the Customer via email before proceeding with its usage. The Customer’s email approval shall be deemed sufficient authorization for Xpan to use the AI tool, whether procured by Customer or Xpan, subject to any additional conditions or guidelines the Customer may specify.


The Customer understands and accepts the risks associated with AI tools, including data privacy, security, accuracy, and compliance risks. Upon approval, the Customer’s data may be processed by AI tools as per their terms of service. Xpan will take commercially reasonable measures to maintain confidentiality and security but shall not be liable for any breaches or unintended disclosures by the AI tool provider. The party procuring the AI Tool (Customer or Xpan) is responsible for the third-party AI provider’s actions, policies, and risks. The procuring party must conduct a risk assessment and assume responsibility for its use.
